Terms & Conditions

Welcome to NexDeys (OPC) Private Limited ("NexDeys", "Company", "we", "our", or "us").

These Terms & Conditions ("Terms") govern your access to and use of the NexDeys mobile application, website, software, APIs, and all related digital services (collectively referred to as the "Platform").

By creating an account, accessing the Platform, browsing the Platform, listing services, making a booking, accepting a booking, making a payment, or otherwise using any feature of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, Vendor Agreement (where applicable), and all other policies published by NexDeys from time to time.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.


1. Definitions

Unless the context otherwise requires:

"Company", "NexDeys", "we", "our", or "us" means NexDeys (OPC) Private Limited, a company incorporated under the Companies Act, 2013.

"Platform" means the NexDeys mobile application, website, APIs, software systems, vendor portal, customer portal, administrative dashboard, and all associated digital services operated by the Company.

"User" means any individual or entity accessing or using the Platform, including customers, visitors, registered users, and prospective customers.

"Vendor" means an independent business, sole proprietor, company, partnership, workshop, garage, detailing studio, washing centre, service centre, technician, mechanic, or any service provider registered on the Platform.

"Booking" means any appointment, reservation, service request, quotation request, or scheduled service initiated through the Platform.

"Service" means any automotive, vehicle care, maintenance, repair, inspection, roadside assistance, detailing, washing, cleaning, servicing, diagnostics, accessories, or any other service listed by Vendors through the Platform.

"Platform Fee" means the technology and convenience fee charged by NexDeys for facilitating bookings and providing marketplace services.

"Reservation Amount" means any advance amount collected for confirming a booking, reserving a service slot, or securing an appointment.

"NexCash" means the promotional wallet, reward, cashback, referral, or loyalty mechanism operated by NexDeys from time to time.

2. About NexDeys

NexDeys is a technology-enabled marketplace platform designed to simplify the discovery, comparison, booking, payment coordination, and management of automotive and vehicle-related services.

The Platform enables customers to discover and book services offered by independent Vendors while providing Vendors with technology tools to manage bookings, customers, schedules, payments, and business operations.

NexDeys continuously develops technology intended to improve booking efficiency, reduce waiting time, enhance customer convenience, increase operational transparency, and support the growth of automotive service businesses.

3. Marketplace Classification

NexDeys operates solely as a technology marketplace and intermediary platform.

Unless expressly stated otherwise, NexDeys:

  • does not own or operate vehicle service centres;
  • does not employ Vendor staff;
  • does not provide vehicle washing, detailing, repair, maintenance, servicing, inspection, roadside assistance, or any automotive service directly;
  • does not supervise the physical execution of Vendor services;
  • does not exercise day-to-day operational control over Vendor businesses.

The Platform merely facilitates communication, discovery, booking, payment coordination, scheduling, customer support, operational transparency, and other digital marketplace services between Users and independent Vendors.

Each Vendor remains an independent business solely responsible for the services it offers.

4. Scope of Services

The Platform allows Vendors to create, publish, modify, and manage their own service listings.

Services available through NexDeys are dynamic and may change over time depending on Vendor offerings.

Without limitation, Vendors may offer services relating to:

  • vehicle washing;
  • bike washing;
  • detailing;
  • cleaning;
  • polishing;
  • ceramic coating;
  • paint protection;
  • maintenance;
  • servicing;
  • diagnostics;
  • mechanical repairs;
  • electrical repairs;
  • inspections;
  • roadside assistance;
  • accessories;
  • battery services;
  • tyre services;
  • emergency vehicle assistance;
  • vehicle care products; and
  • any other lawful automotive or vehicle-related service made available through the Platform.

The appearance of a service on the Platform does not imply that NexDeys itself provides, endorses, certifies, or guarantees such service.

5. Eligibility

To use the Platform, you must:

  • be legally competent to enter into a binding contract under applicable law;
  • provide accurate and complete information during registration;
  • maintain the confidentiality of your account credentials;
  • comply with these Terms and all applicable laws.

If you are using the Platform on behalf of an organisation or business entity, you represent that you have the authority to bind that organisation to these Terms.

NexDeys reserves the right to refuse access to the Platform or terminate accounts where eligibility requirements are not satisfied.

6. User Accounts

Certain features of the Platform require registration.

Users agree to:

  • provide true, accurate, current, and complete information;
  • promptly update information when changes occur;
  • maintain the confidentiality of login credentials;
  • immediately notify NexDeys of any unauthorised access or suspected compromise of their account.

Users are responsible for all activities conducted through their accounts unless such activity results solely from a security failure attributable to NexDeys.

NexDeys reserves the right to verify user information through OTP verification, identity checks, fraud detection mechanisms, or other reasonable verification processes.

7. Vendor Accounts

Vendors may be required to provide business information, identity verification documents, banking details, tax information, licences (where applicable), and other information necessary for onboarding.

Submission of documents does not guarantee approval.

NexDeys reserves the right to approve, reject, suspend, or terminate Vendor registrations at its sole discretion, subject to applicable law and principles of fairness.

Vendor approval may depend upon:

  • business verification;
  • KYC verification;
  • operational capability;
  • service quality;
  • fraud prevention checks;
  • compliance reviews; and
  • other reasonable business considerations.

Vendor onboarding may be reviewed periodically, and Vendors may be required to submit updated information to continue using the Platform.

8. Account Security

Users and Vendors are responsible for safeguarding their account credentials.

You must not:

  • share login credentials with unauthorised persons;
  • create multiple fraudulent accounts;
  • impersonate another individual or business;
  • use automated software to access accounts;
  • attempt to bypass security mechanisms.

NexDeys may suspend or restrict access where unusual login activity, suspected fraud, or security risks are detected.

9. Booking System

NexDeys operates a technology-based appointment and booking system intended to improve convenience and reduce uncertainty associated with obtaining vehicle-related services.

Bookings are subject to:

  • Vendor availability;
  • operating hours;
  • service capacity;
  • booking limits;
  • payment confirmation;
  • fraud checks;
  • technical availability; and
  • other operational conditions.

Submission of a booking request does not guarantee confirmation.

A booking is considered confirmed only after confirmation is communicated through the Platform.

Displayed waiting times, service durations, queue positions, and estimated completion times are estimates only and may vary due to real-world operational circumstances.

10. Booking Confirmation

Depending upon the nature of the booking, NexDeys may require:

  • full advance payment;
  • payment of a Reservation Amount;
  • OTP verification;
  • additional verification checks; or
  • any combination of the above.

Bookings may be declined, cancelled, modified, or rescheduled due to Vendor availability, operational constraints, suspected fraud, payment failures, force majeure events, or other reasonable circumstances.

NexDeys will make commercially reasonable efforts to notify Users of material booking changes through the Platform.

11. Pricing & Service Charges

Each Vendor independently determines the pricing of the services offered through the Platform unless otherwise agreed with NexDeys under a separate written arrangement.

The total amount payable by the User for a booking shall be displayed on the checkout page prior to payment confirmation. By confirming a booking, the User agrees to pay the total amount displayed.

The final payable amount may include, where applicable:

  • Vendor service charges;
  • Platform Fee;
  • applicable taxes;
  • booking-related charges;
  • government levies; and
  • any other charges expressly disclosed before payment confirmation.

The internal commercial arrangement between NexDeys and its Vendors, including commissions, settlement arrangements, incentives, commercial discounts, or revenue-sharing mechanisms, constitutes confidential business information and shall not form part of the User's agreement with NexDeys.

Prices displayed on the Platform may differ from prices independently offered by Vendors through their own offline or online sales channels. Vendors remain responsible for determining the pricing of their services unless otherwise contractually agreed with NexDeys.

12. Platform Fee

NexDeys may charge a Platform Fee for facilitating bookings through the Platform.

The Platform Fee represents consideration for the technology infrastructure, booking management system, customer support, digital marketplace services, payment facilitation, operational tools, and related services provided by NexDeys.

The applicable Platform Fee, if any, shall be disclosed to the User before the booking is confirmed.

Platform Fees may vary depending upon:

  • service category;
  • booking value;
  • promotional campaigns;
  • operational requirements;
  • geographical location;
  • payment method; or
  • any other business criteria determined by NexDeys.

Unless otherwise required by applicable law or expressly stated in the Refund & Cancellation Policy, Platform Fees are non-refundable after successful booking confirmation.

13. Taxes & GST

All applicable taxes shall be charged and collected in accordance with the laws of India.

Where required by applicable law, Goods and Services Tax (GST) or any other statutory taxes may be included in or added to the total amount payable by the User.

Tax invoices or other applicable tax documents shall be generated in accordance with legal requirements.

Users acknowledge that:

  • taxes applicable to the Platform Fee are separate from taxes applicable to Vendor services;
  • Vendors remain independently responsible for their own tax registrations, invoicing obligations, statutory filings, and legal compliance where applicable; and
  • NexDeys shall not be responsible for any Vendor's independent tax defaults.

Nothing contained herein shall prevent NexDeys from modifying its tax collection mechanism in accordance with future legal or regulatory requirements.

14. Payment Methods

The Platform may support one or more of the following payment methods:

  • UPI;
  • Debit Cards;
  • Credit Cards;
  • Net Banking;
  • Digital Wallets;
  • Banking Applications;
  • Cashless Payment Systems;
  • Payment Gateway Services;
  • Reservation Amount Payments;
  • Full Advance Payments; and
  • any other payment methods introduced by NexDeys from time to time.

Availability of payment methods may vary depending upon location, Vendor, payment partner, technical availability, or regulatory requirements.

15. Payment Processing

Payments made through the Platform may be processed using authorised third-party payment gateway providers.

NexDeys does not store Users' complete debit card numbers, credit card numbers, CVV numbers, banking passwords, UPI PINs, internet banking credentials, or other confidential financial authentication data.

Payment authorisation, transaction processing, settlement confirmation, and banking communication may depend upon third-party financial institutions and payment partners.

NexDeys shall not be responsible for delays or failures caused solely by:

  • banking systems;
  • payment gateways;
  • internet outages;
  • payment network failures;
  • financial institutions;
  • card issuers;
  • UPI infrastructure; or
  • circumstances beyond the reasonable control of NexDeys.

16. Payment Settlement

To facilitate marketplace operations, payments collected through the Platform may be settled using automated marketplace settlement mechanisms.

Depending upon the payment method and booking configuration, settlement may occur:

  • directly between the User and Vendor;
  • through authorised payment partners;
  • through automated split settlement systems;
  • through marketplace settlement arrangements; or
  • through any other legally permissible settlement mechanism.

Users acknowledge that the settlement mechanism adopted by NexDeys is an internal operational process and does not alter the independent contractual relationship between the User and the Vendor regarding the underlying service.

Vendors acknowledge that settlement timelines may depend upon banking systems, payment gateway partners, verification requirements, fraud reviews, regulatory obligations, and operational processing.

17. Booking Reservation Amount

For selected bookings, NexDeys may allow Users to confirm a booking by paying only a Reservation Amount instead of the entire booking value.

The Reservation Amount secures the booking slot and confirms the User's intention to utilise the booked service.

Where applicable, the remaining balance may be payable:

  • through the Platform;
  • directly to the Vendor;
  • through split settlement arrangements; or
  • by any other payment mechanism communicated during checkout.

Payment of the Reservation Amount does not relieve the User from the obligation to pay the remaining balance for services successfully rendered.

Failure to pay the remaining amount may result in cancellation of bookings, account restrictions, recovery proceedings where legally permissible, or other actions under these Terms.

18. Booking Modifications

Requests to modify bookings shall remain subject to:

  • Vendor approval;
  • operational feasibility;
  • slot availability;
  • payment verification; and
  • Platform policies.

NexDeys does not guarantee that requested modifications can always be accommodated.

Where booking modifications result in changes to pricing, Users shall be informed of the revised amount before confirmation.

19. Cancellations

Cancellation of bookings shall be governed by the NexDeys Refund & Cancellation Policy available on the Platform.

Cancellation eligibility, cancellation timelines, refund eligibility, Reservation Amount treatment, Platform Fee treatment, and no-show consequences shall be determined in accordance with that policy.

Nothing contained within this section limits any statutory consumer rights that cannot lawfully be excluded.

20. Service Completion & OTP Verification

To maintain booking integrity and reduce fraudulent disputes, NexDeys may require Users to verify successful completion of services through One-Time Password (OTP) verification or any other authentication mechanism designated by the Platform.

Where OTP verification is required:

  • the Vendor shall request the completion OTP only after completion of the booked service;
  • Users should not share the OTP before satisfactory completion of the service;
  • submission of the OTP may be treated as confirmation that the service has been completed, subject to dispute rights available under applicable law.

Repeated misuse of OTP verification, including false completion confirmations or fraudulent disputes, may result in investigation, account restrictions, suspension, or permanent removal from the Platform.

21. Payment Failures

A booking may remain incomplete where:

  • payment authorisation fails;
  • payment is declined;
  • banking systems fail;
  • network interruptions occur;
  • payment gateways experience technical issues; or
  • fraudulent activity is suspected.

NexDeys reserves the right to suspend booking confirmation until successful payment verification is completed.

Users should not assume that a booking has been confirmed merely because payment has been initiated.

Only booking confirmations generated through the Platform shall constitute valid booking confirmation.

22. Customer Responsibilities

Users agree to:

  • provide accurate booking information;
  • provide accurate vehicle information;
  • provide valid contact details;
  • arrive within the allocated booking window;
  • cooperate with reasonable Vendor verification procedures;
  • inspect the vehicle before handing it over;
  • remove valuables, confidential documents, cash, jewellery, electronics, and other personal belongings before service;
  • ensure that the booked vehicle is legally owned or authorised for service;
  • make payments in accordance with these Terms; and
  • use the Platform honestly, lawfully, and in good faith.

Users acknowledge that failure to comply with these responsibilities may affect booking completion, refund eligibility, dispute resolution, and future use of the Platform.

23. No-Shows & Late Arrivals

Users are expected to honour confirmed bookings.

Failure to arrive within the scheduled booking window may result in:

  • automatic cancellation;
  • forfeiture of applicable Reservation Amounts or charges in accordance with the Refund & Cancellation Policy;
  • reduced booking priority;
  • temporary booking restrictions;
  • account review; or
  • other reasonable measures intended to protect the operational interests of Vendors and the integrity of the Platform.

NexDeys reserves the right to implement reasonable no-show prevention measures, including requiring advance payments, Reservation Amounts, additional verification, or account restrictions for repeated no-show behaviour.

24. Vendor Responsibilities

Vendors registered on the Platform operate as independent businesses and shall remain solely responsible for the services they offer and perform.

Each Vendor agrees to:

  • provide services in a professional, lawful, safe, and responsible manner;
  • maintain all licences, permits, registrations, and approvals required under applicable law;
  • ensure that service descriptions, pricing, timings, and availability displayed on the Platform remain accurate and up to date;
  • honour confirmed bookings wherever reasonably possible;
  • maintain appropriate staffing, equipment, and operational capability;
  • comply with applicable environmental, labour, health, and safety laws;
  • maintain courteous and professional conduct while dealing with Users; and
  • immediately notify NexDeys of any operational issues that may affect confirmed bookings.

Vendors shall remain solely responsible for the acts and omissions of their owners, employees, agents, contractors, representatives, and staff.

25. Vendor Service Listings

Vendors are solely responsible for all information published through their accounts, including but not limited to:

  • service names;
  • descriptions;
  • pricing;
  • photographs;
  • estimated duration;
  • inclusions and exclusions;
  • warranties;
  • availability;
  • promotional offers; and
  • any other content uploaded to the Platform.

NexDeys does not independently verify the accuracy of every listing and shall not be liable for inaccuracies, omissions, typographical errors, misleading statements, or outdated information published by Vendors.

NexDeys reserves the right to edit, suspend, reject, or remove listings that violate applicable law, these Terms, or Platform policies.

26. Service Execution

All vehicle-related services booked through the Platform are independently performed by the respective Vendor.

NexDeys does not physically supervise, direct, inspect, or control the execution of Vendor services.

The Vendor remains solely responsible for:

  • service quality;
  • workmanship;
  • chemicals and materials used;
  • equipment used;
  • safety practices;
  • employee conduct;
  • operational procedures;
  • repair methods;
  • replacement parts;
  • workmanship warranties; and
  • compliance with applicable law.

Nothing contained on the Platform shall be interpreted as creating an employer-employee relationship, partnership, agency, joint venture, or franchise relationship between NexDeys and any Vendor.

27. Vendor Verification

NexDeys may conduct verification procedures before onboarding Vendors.

Verification may include:

  • identity verification;
  • business verification;
  • KYC verification;
  • GST verification;
  • banking verification;
  • address verification;
  • document verification;
  • business licence verification;
  • service capability assessment; or
  • any other verification considered appropriate.

Such verification is undertaken to improve marketplace reliability and does not constitute a guarantee, certification, endorsement, warranty, or representation regarding the future conduct, financial stability, competence, or quality of any Vendor.

Users acknowledge that they remain responsible for exercising reasonable judgment before engaging any Vendor.

28. Quality Assurance

NexDeys may introduce quality standards, service guidelines, customer feedback mechanisms, ratings, inspections, audits, training programmes, or operational policies intended to improve the quality of services available through the Platform.

Such initiatives are designed solely to improve marketplace standards and shall not be interpreted as assuming direct responsibility for Vendor services.

The ultimate responsibility for service execution remains with the Vendor.

29. Vehicle Condition

Users are encouraged to inspect their vehicle before handing it over for service.

Users should verify, where applicable:

  • existing scratches;
  • dents;
  • paint damage;
  • cracked glass;
  • broken accessories;
  • missing components;
  • warning lights;
  • mechanical issues; and
  • any other pre-existing condition.

Where reasonably possible, Users are encouraged to document the vehicle's condition through photographs or videos before the commencement of service.

Failure to document the vehicle's pre-service condition may affect dispute resolution.

30. Vehicle Damage Disclaimer

NexDeys acts solely as a technology marketplace facilitating bookings between Users and independent Vendors.

Accordingly, NexDeys shall not be deemed the provider of the underlying automotive service.

To the maximum extent permitted by applicable law, NexDeys shall not be directly responsible for any claim relating to:

  • scratches;
  • dents;
  • paint damage;
  • swirl marks;
  • glass damage;
  • tyre damage;
  • wheel damage;
  • electrical failures;
  • battery failures;
  • engine damage;
  • mechanical failures;
  • sensor malfunctions;
  • accessory damage;
  • water ingress;
  • upholstery damage;
  • interior damage;
  • exterior damage;
  • cosmetic defects;
  • accidental damage;
  • theft;
  • loss of property; or
  • any damage alleged to have arisen during or after the Vendor's execution of services.

Nothing contained herein limits rights that cannot lawfully be excluded under applicable consumer protection legislation.

31. Valuables Disclaimer

Users are solely responsible for removing valuable or confidential items from their vehicles before service.

Such items include, without limitation:

  • cash;
  • jewellery;
  • laptops;
  • mobile phones;
  • tablets;
  • wallets;
  • identification documents;
  • passports;
  • confidential business documents;
  • personal belongings;
  • electronic devices; and
  • any other valuable item.

NexDeys shall not be liable for the loss, theft, damage, or misplacement of any such items.

Users should verify that all valuables have been removed prior to handing over the vehicle to the Vendor.

32. Third-Party Warranties

Any warranty, guarantee, assurance, or representation relating to services, replacement parts, accessories, or workmanship shall be provided solely by the respective Vendor unless expressly stated otherwise.

NexDeys does not independently provide warranties regarding Vendor services.

Where a Vendor advertises a warranty through the Platform, responsibility for honouring such warranty shall remain with that Vendor.

33. Delays & Operational Variations

Estimated service durations and waiting times displayed through the Platform are intended solely as operational estimates.

Actual service times may vary due to:

  • customer volume;
  • weather conditions;
  • traffic;
  • equipment breakdown;
  • staff availability;
  • electricity interruptions;
  • water availability;
  • technical failures;
  • emergencies;
  • unforeseen operational issues; or
  • circumstances beyond the Vendor's reasonable control.

Users acknowledge that such estimates do not constitute guaranteed appointment times or completion deadlines.

34. Travel & Commute Responsibility

Users are solely responsible for travelling to and from Vendor locations.

NexDeys shall not be responsible for:

  • road accidents;
  • traffic congestion;
  • parking disputes;
  • vehicle breakdowns during travel;
  • personal injury;
  • theft;
  • fines;
  • toll charges;
  • fuel expenses;
  • delays during travel; or
  • any incident occurring outside the Platform's reasonable operational control.

Users should comply with all applicable traffic laws while travelling to Vendor locations.

35. User Reviews & Ratings

Following completion of a booking, Users may be permitted to submit reviews and ratings relating to their experience.

Reviews should be:

  • truthful;
  • fair;
  • based upon actual experience;
  • respectful;
  • relevant to the booked service.

Users must not submit reviews that are:

  • false;
  • defamatory;
  • abusive;
  • discriminatory;
  • threatening;
  • misleading;
  • promotional;
  • fraudulent; or
  • intended to manipulate Vendor rankings.

NexDeys reserves the right to moderate, edit, remove, or refuse publication of reviews that violate these Terms or applicable law.

Publication of a review does not imply endorsement by NexDeys.

36. Community Guidelines

NexDeys is committed to maintaining a safe, respectful, transparent, and trustworthy marketplace for all Users and Vendors.

By using the Platform, you agree to interact respectfully with other Users, Vendors, employees, representatives, customer support personnel, and any person associated with the Platform.

Users and Vendors shall not engage in conduct that:

  • is abusive, threatening, intimidating, or harassing;
  • promotes hatred, violence, discrimination, or unlawful activity;
  • disrupts the normal operation of the Platform;
  • interferes with another person's use of the Platform;
  • damages the reputation of NexDeys or other Users through malicious or knowingly false statements; or
  • violates applicable laws.

Repeated violations may result in account suspension or permanent termination.

37. Prohibited Activities

Users and Vendors shall not directly or indirectly:

  • create fake accounts;
  • impersonate another individual, business, or organisation;
  • submit fraudulent bookings;
  • intentionally block service slots without genuine intention to avail services;
  • manipulate booking availability;
  • bypass Platform payment mechanisms where required;
  • attempt to evade applicable Platform Fees;
  • upload false business information;
  • use stolen payment instruments;
  • engage in money laundering or other unlawful financial activities;
  • distribute malware, viruses, spyware, ransomware, or malicious software;
  • reverse engineer the Platform;
  • copy, scrape, extract, harvest, or reproduce Platform data without written authorisation;
  • use bots, scripts, crawlers, or automated systems without prior written consent;
  • interfere with Platform security;
  • exploit software vulnerabilities;
  • attempt unauthorised access to servers or databases;
  • misuse OTP verification systems;
  • manipulate referral programmes;
  • create duplicate accounts to obtain promotional benefits;
  • submit false complaints or disputes;
  • encourage others to violate these Terms; or
  • engage in any activity that may adversely affect the integrity, security, or reputation of NexDeys.

38. Fraud Prevention

NexDeys operates fraud prevention, risk monitoring, and security systems to protect Users, Vendors, and the Platform.

The Company may monitor:

  • booking behaviour;
  • cancellation patterns;
  • payment activity;
  • login activity;
  • device identifiers;
  • IP addresses;
  • location consistency;
  • referral activity;
  • wallet usage;
  • OTP verification history;
  • booking frequency;
  • account relationships; and
  • other operational indicators reasonably required to detect fraudulent or suspicious activity.

Where suspicious activity is detected, NexDeys may:

  • request additional verification;
  • temporarily suspend bookings;
  • delay settlement;
  • freeze promotional benefits;
  • restrict account functionality;
  • reject transactions;
  • permanently suspend accounts; or
  • report unlawful activity to competent authorities where legally required.

Such measures are intended to protect the integrity of the marketplace and shall not be interpreted as an admission of wrongdoing by any User or Vendor.

39. NexCash Wallet

NexCash is a promotional loyalty and reward programme operated by NexDeys.

Unless expressly stated otherwise:

  • NexCash is not legal tender;
  • NexCash is not electronic money;
  • NexCash is not a prepaid payment instrument;
  • NexCash does not constitute a bank deposit;
  • NexCash does not earn interest; and
  • NexCash has no guaranteed cash redemption value.

NexCash may be earned, credited, redeemed, restricted, expired, suspended, modified, or withdrawn in accordance with Platform policies.

Unused NexCash may expire after the period notified by NexDeys.

Upon account closure or termination, unused NexCash may be forfeited unless otherwise required by applicable law.

NexDeys reserves the right to reverse promotional credits obtained through fraud, abuse, technical errors, duplicate accounts, referral manipulation, or violations of these Terms.

40. Referral Programme

NexDeys may introduce referral programmes from time to time.

Participation in any referral programme shall constitute acceptance of the applicable referral terms.

Users shall not:

  • create multiple accounts;
  • use temporary phone numbers;
  • create fake identities;
  • manipulate devices;
  • use automated referral systems;
  • exploit software vulnerabilities;
  • purchase referrals;
  • sell referral benefits; or
  • artificially generate referral rewards.

NexDeys reserves the right to invalidate fraudulent referrals, reverse rewards, suspend accounts, or permanently terminate referral participation.

41. Intellectual Property

Unless otherwise expressly stated, all intellectual property rights relating to the Platform are owned by or licensed to NexDeys (OPC) Private Limited.

This includes, without limitation:

  • the NexDeys name;
  • logos;
  • trademarks;
  • service marks;
  • branding;
  • software;
  • source code;
  • databases;
  • mobile applications;
  • website design;
  • graphics;
  • icons;
  • layouts;
  • documentation;
  • APIs;
  • algorithms;
  • text;
  • audio;
  • video;
  • user interface;
  • business methods; and
  • all related intellectual property.

Nothing contained in these Terms transfers ownership of any intellectual property to Users or Vendors.

Users receive only a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform strictly in accordance with these Terms.

42. User Content

Users and Vendors may submit reviews, ratings, photographs, comments, service descriptions, logos, profile information, and other content through the Platform.

By submitting such content, you represent that:

  • you own or have the necessary rights to submit the content;
  • the content does not infringe third-party rights;
  • the content complies with applicable law; and
  • the content is accurate to the best of your knowledge.

You grant NexDeys a worldwide, non-exclusive, royalty-free, transferable licence to host, reproduce, display, store, publish, distribute, and use such content solely for operating, improving, promoting, and maintaining the Platform.

NexDeys reserves the right to remove or refuse any content that violates these Terms or applicable law.

43. Privacy

Collection, processing, storage, disclosure, and protection of personal information shall be governed by the NexDeys Privacy Policy.

By using the Platform, Users acknowledge that they have read and accepted the Privacy Policy.

Where there is any conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy shall prevail to the extent of such conflict.

44. Third-Party Services

The Platform may integrate with third-party services including, but not limited to:

  • payment gateways;
  • banking institutions;
  • mapping services;
  • GPS providers;
  • OTP providers;
  • SMS gateways;
  • email service providers;
  • analytics services;
  • cloud infrastructure providers;
  • customer support platforms; and
  • verification service providers.

Such third-party services operate independently of NexDeys.

NexDeys does not control the availability, performance, security, or policies of such third-party providers and shall not be responsible for failures arising solely from their systems.

Use of third-party services may also be subject to the respective provider's terms and privacy policies.

45. Platform Availability

While NexDeys endeavours to maintain uninterrupted availability of the Platform, continuous operation cannot be guaranteed.

The Platform may be temporarily unavailable due to:

  • scheduled maintenance;
  • software updates;
  • emergency maintenance;
  • security incidents;
  • cyber attacks;
  • hardware failures;
  • internet outages;
  • cloud infrastructure failures;
  • payment gateway interruptions;
  • regulatory requirements; or
  • circumstances beyond the reasonable control of NexDeys.

NexDeys reserves the right to modify, suspend, discontinue, or replace any feature of the Platform without prior notice where reasonably necessary.

46. Account Suspension & Termination

NexDeys reserves the right to suspend, restrict, deactivate, or permanently terminate any User or Vendor account where there is reasonable belief of:

  • fraud;
  • payment abuse;
  • repeated no-shows;
  • policy violations;
  • unlawful conduct;
  • abusive behaviour;
  • security threats;
  • referral manipulation;
  • identity fraud;
  • document forgery;
  • repeated customer complaints;
  • repeated Vendor misconduct; or
  • any activity that may adversely affect the Platform or its Users.

Where reasonably practicable, NexDeys may provide notice before permanent termination.

However, immediate suspension may occur where urgent action is necessary to protect Users, Vendors, payment systems, Platform security, or compliance with applicable law.

Termination of an account shall not affect any accrued legal rights, outstanding payment obligations, pending disputes, or statutory obligations existing prior to termination.

47. Refunds & Cancellations

Refunds, cancellations, booking modifications, no-show charges, Reservation Amount treatment, Platform Fee treatment, promotional credits, and NexCash adjustments shall be governed by the NexDeys Refund & Cancellation Policy published on the Platform.

By using the Platform, Users acknowledge that they have read and agreed to the Refund & Cancellation Policy.

Nothing contained herein shall restrict any statutory consumer rights available under applicable law.

48. Consumer Rights

NexDeys recognises and respects the rights available to consumers under applicable Indian law.

Nothing contained in these Terms shall exclude, restrict, or limit any consumer rights that cannot legally be excluded under the Consumer Protection Act, 2019, or any other applicable legislation.

Where a dispute arises between a User and a Vendor, NexDeys may, at its discretion, facilitate communication between the parties to assist in resolving the matter. Such facilitation shall not be construed as an admission of liability or an undertaking by NexDeys to resolve or decide the dispute.

49. Limitation of Liability

To the fullest extent permitted under applicable law, NexDeys (OPC) Private Limited, its directors, officers, employees, affiliates, consultants, agents, licensors, service providers, and partners shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or speculative damages arising out of or relating to:

  • use of or inability to use the Platform;
  • delays in booking confirmation or service completion;
  • loss of profits, revenue, business opportunities, goodwill, or anticipated savings;
  • loss of data;
  • loss of reputation;
  • interruption of business;
  • Vendor conduct or performance;
  • User conduct;
  • third-party payment failures;
  • third-party service failures;
  • cyber incidents beyond reasonable control;
  • unauthorised access caused by factors beyond NexDeys' reasonable control; or
  • any event for which liability is lawfully excluded.

Subject to applicable law, NexDeys' aggregate liability arising from any claim relating to a specific booking shall not exceed the total amount actually paid by the User to NexDeys in relation to that booking.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

50. Indemnity

Users and Vendors agree to indemnify, defend, and hold harmless NexDeys (OPC) Private Limited, its directors, officers, employees, affiliates, consultants, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, losses, damages, liabilities, penalties, fines, costs, or expenses (including reasonable legal expenses) arising out of or relating to:

  • breach of these Terms;
  • violation of applicable law;
  • infringement of intellectual property rights;
  • submission of false information;
  • fraudulent activity;
  • negligence;
  • misconduct;
  • unauthorised use of the Platform;
  • disputes arising from services independently provided by Vendors; or
  • any act or omission attributable to the User or Vendor.

This indemnity shall survive suspension or termination of the account.

51. Third-Party Links

The Platform may contain links to third-party websites, applications, products, or services for user convenience.

Such links do not constitute endorsement, recommendation, approval, sponsorship, or representation by NexDeys.

Users access third-party resources entirely at their own discretion and subject to the respective third party's terms and privacy policies.

NexDeys shall not be responsible for the availability, content, accuracy, security, or practices of any third-party website or service.

52. Force Majeure

NexDeys shall not be liable for any delay, interruption, suspension, or failure in performing its obligations where such delay or failure results from events beyond its reasonable control.

Such events include, without limitation:

  • natural disasters;
  • floods;
  • earthquakes;
  • fire;
  • pandemics;
  • epidemics;
  • war;
  • terrorism;
  • civil unrest;
  • labour disputes;
  • government actions;
  • changes in law;
  • internet outages;
  • cyber attacks;
  • cloud infrastructure failures;
  • payment network failures;
  • electricity interruptions;
  • telecommunications failures; or
  • any other force majeure event.

During the continuation of such events, NexDeys may suspend, modify, or delay services without incurring liability.

53. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

All rights and obligations arising under these Terms shall be interpreted in accordance with applicable Indian legislation.

54. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the use of the Platform, the parties agree to first attempt to resolve the dispute amicably through good-faith discussions.

Users are encouraged to contact NexDeys Customer Support before initiating formal legal proceedings.

NexDeys may facilitate communication between Users and Vendors where appropriate; however, such facilitation shall not constitute legal representation or assumption of liability.

Nothing contained herein shall prevent either party from exercising statutory rights available under applicable law.

55. Jurisdiction

Subject to applicable law, the courts having jurisdiction over the registered office of NexDeys (OPC) Private Limited shall have exclusive jurisdiction over disputes arising out of or relating to these Terms.

Where exclusive jurisdiction cannot lawfully be imposed, jurisdiction shall be determined in accordance with applicable law.

56. Severability

If any provision of these Terms is determined by a court or competent authority to be invalid, illegal, or unenforceable, such provision shall, to the extent necessary, be deemed severed from these Terms.

The remaining provisions shall continue in full force and effect.

57. No Waiver

Failure by NexDeys to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver shall be effective only if made expressly in writing by an authorised representative of NexDeys.

58. Entire Agreement

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Vendor Agreement (where applicable), and any other policies expressly incorporated by reference, constitute the complete agreement between the User, the Vendor (where applicable), and NexDeys in relation to the use of the Platform.

These documents supersede all prior understandings, communications, representations, and agreements relating to the same subject matter.

59. Amendments

NexDeys reserves the right to modify, revise, update, or replace these Terms at any time to reflect changes in law, technology, business operations, security requirements, or Platform functionality.

Updated Terms shall become effective upon publication on the Platform unless otherwise stated.

Where required by applicable law or where material changes significantly affect Users' rights or obligations, NexDeys may require renewed acceptance before continued use of the Platform.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

60. Notices

Any notices, communications, disclosures, or legal correspondence relating to these Terms may be provided through:

  • the Platform;
  • email;
  • SMS;
  • push notifications;
  • in-app notifications;
  • the registered contact details provided by the User; or
  • any other legally permissible communication method.

Users are responsible for ensuring that their contact information remains accurate and up to date.

62. Grievance Officer

In accordance with applicable law, NexDeys may appoint a Grievance Officer for handling complaints relating to the Platform.

The name and contact details of the Grievance Officer shall be updated on the Platform upon appointment.

63. Digital Acceptance of Terms

By creating an account, checking the consent checkbox, submitting a booking, registering as a Vendor, making a payment, or otherwise accessing or using the Platform, you acknowledge that:

  • you have carefully read these Terms & Conditions;
  • you understand your rights and obligations;
  • you have read the Privacy Policy and Refund & Cancellation Policy;
  • you consent to the collection and processing of information as described in the Privacy Policy;
  • you agree to comply with all Platform policies; and
  • you voluntarily enter into this legally binding agreement with NexDeys (OPC) Private Limited.

Electronic acceptance of these Terms shall have the same legal effect as a handwritten signature, to the extent recognised under applicable law.
